Terms of Service
This document is an agreement between Nortezh service provider ("Service Provider") and users of Nortezh Cloud Platform ("Users"). Registration, activation, or use of any part of the service constitutes that users have read, understood, and agreed to be bound by all terms and conditions in this document completely.
Effective Date: January 1, 2025
1. Definitions
For clarity, the following terms shall have the following meanings:
- 1.1 Container means computing unit/runtime environment for user's applications
- 1.2 Resources means CPU, Memory, Storage, Bandwidth and other system resources allocated by the service provider
- 1.3 Billing Account means user's credit account used for prepayment and charged based on actual usage
- 1.4 Privacy Policy means the policy published on the service provider's website, which is part of this agreement
2. Acceptance and Scope of Agreement
- 2.1 Users must read and understand this terms before using the service. Continued use constitutes acceptance of all terms
- 2.2 If users do not accept these terms, they must discontinue use of the service immediately
3. Nature and Scope of Services
- 3.1 The service provider provides Pay-as-you-go cloud infrastructure services which may include: Container deployment, persistent storage, internal/external networking, near real-time monitoring and logging systems, Environment/Secret management, load balancing, and auto-scaling
- 3.2 The service provider may add, improve, suspend, or terminate service components as appropriate, with announcements through channels deemed suitable by the service provider
4. User Accounts and Security
- 4.1 Users must keep all Credentials, API Keys and Access Tokens confidential and are responsible for all activities under their account
- 4.2 If account compromise is suspected, users must notify the service provider without delay
- 4.3 Transfer of usage rights or allowing others to use accounts is prohibited without written consent from the service provider
5. User Responsibilities and Legal Compliance
- 5.1 Users must use the service for lawful purposes and comply with all applicable laws, regulations, and software licenses
- 5.2 Users are solely responsible for all content, configurations, and activities resulting from their use of the service
6. Acceptable Use Policy
Users must not engage in the following activities, and the service provider reserves the right to suspend or terminate services immediately without notice if such activities are detected or reasonably suspected:
- 6.1 Providing or distributing illegal content or content contrary to good morals
- 6.2 Infringing copyrights, trademarks, or intellectual property rights
- 6.3 System penetration, creating backdoors, or running code harmful to systems, distributing malware/viruses/harmful code
- 6.4 DDoS attacks or disrupting network operations
- 6.5 Using resources significantly beyond specified limits (such as CPU/Memory/I/O/Inode) affecting other users
- 6.6 Cryptocurrency mining of any form
- 6.7 Unauthorized Peer-to-Peer/Torrent/File-Sharing services
- 6.8 Sending spam/bulk emails
- 6.9 Providing unauthorized Proxy, VPN, Anonymizer services
- 6.10 Providing unauthorized IRC/Game Server services
- 6.11 Child pornography or child exploitation content
- 6.12 Content promoting violence, discrimination, or hatred
- 6.13 Insulting the monarchy or any actions violating related laws
- 6.14 Phishing, Social Engineering, identity impersonation
- 6.15 Resource reselling without written authorization
7. Resource Usage and Fair Use
Users must not use services in ways that create unreasonable burden on systems or affect stability/availability for other users. The service provider may establish/modify appropriate usage criteria periodically.
8. Service Fees, Billing and Payment
- 8.1 Service fees are charged based on actual Pay-as-you-go usage per second (or units determined by service provider) with no minimum charges. Detailed service rates are published on the service provider's website and may change periodically
- 8.2 Users must prepay credits to billing accounts before use. The system will deduct credits in near real-time based on actual usage
- 8.3 When credits are depleted, services will be automatically suspended until new credits are added
- 8.4 Unless otherwise required by law, prepaid credits are non-refundable
9. Duration, Suspension and Termination
- 9.1 The service provider may suspend or terminate all or part of services if violations of these terms are found or there are risks to system security/stability
- 9.2 Users may terminate service use at any time by stopping credit additions and/or shutting down their resources
- 9.3 After service termination, the service provider will retain data for 30 days from the service end date, after which data will be permanently deleted and cannot be recovered
10. Data Backup and Business Continuity
- 10.1 Users are responsible for regularly backing up their own data
- 10.2 The service provider is not liable for data loss under any circumstances
11. Monitoring and Enforcement
- 11.1 The service provider may monitor user activities as necessary to prevent/mitigate security risks or agreement violations, and may request technical information necessary for problem resolution
- 11.2 When suspicious files are detected as malware or harmful, the service provider may delete/quarantine such files without notice
12. Cooperation with Government Agencies
Upon legal orders or requests from government agencies, the service provider may disclose necessary information within the scope permitted by law and may suspend services as necessary, without refunding paid service fees.
13. Intellectual Property and Third-Party Software
Users must comply with licenses of all software types used on the platform and must not infringe intellectual property rights of the service provider or third parties.
14. Warranty Disclaimer
Services are provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied, including but not limited to fitness for particular purpose, continuity, freedom from defects, or complete security.
15. Limitation of Liability
To the maximum extent permitted by law, the service provider is not liable for indirect, special, incidental, consequential, or punitive damages. The service provider's total liability to users, regardless of cause, shall not exceed the amount of service fees paid by users to the service provider in the 12 months prior to the incident causing such liability.
16. Indemnification
Users agree to indemnify, hold harmless, and defend the service provider from claims, damages, costs, and legal expenses arising from (a) violation of this agreement (b) violation of laws, or (c) violation of third-party rights resulting from users' use of the service.
17. Privacy and Personal Data Protection
Collection, use, and disclosure of personal data follows the Privacy Policy on the service provider's website, which is part of this agreement. Users should study and accept such policy before use.
18. Terms Modification
The service provider may modify these terms periodically, effective upon publication on the service provider's website. Continued use of services after modifications constitutes acceptance of the modified terms.
19. Applicable Law and Dispute Resolution
- 19.1 This agreement is governed by the laws of the Kingdom of Thailand
- 19.2 Parties will negotiate in good faith to resolve disputes. If no agreement can be reached within 30 days, the matter shall be submitted to competent courts in Thailand
20. Miscellaneous
- 20.1 Severability: If any provision is unenforceable, the remaining terms shall remain in effect
- 20.2 Waiver: Non-exercise of any right by the service provider does not constitute a waiver
- 20.3 Assignment: Users may not assign rights/duties under this agreement except with written consent from the service provider
- 20.4 Entire Agreement: This document and referenced policies/documents constitute the entire agreement between parties regarding the service
